1 | What We Are (and Aren’t)

The Promise Plan provides communication and preparedness tools that help pet owners organize and share pet-care details, monitor responsiveness through check-ins, and notify designated contacts if a check-in and repeated follow-ups go unanswered.

We follow your written instructions as provided. All actions and care described in your plan are carried out by your designated contacts or service providers you have identified. Plan activation and outreach rely on the accuracy and completeness of information and instructions you provide. The Promise Plan cannot guarantee response times, outcomes, or the availability of any designated contact or third party. Check-ins and notifications depend on device connectivity and third-party communication networks, which may affect delivery.

We are not an emergency-response service, medical or veterinary provider, insurer, law firm, or first-responder dispatcher. We do not provide physical care, medical advice, legal advice, guaranteed outcomes, or independent judgment regarding appropriate actions to take. We provide communication and coordination services solely to communicate the instructions you provide to your designated contacts.

The Promise Plan is not a substitute for contacting emergency veterinary services, law enforcement, or any other emergency responder. If you believe your pet is in immediate danger or requires urgent care, you should contact the appropriate emergency services directly. Our Service facilitates communication according to your instructions, but we do not provide emergency response, rescue, veterinary care, or any form of guaranteed intervention.

We may modify or update these Terms at any time by posting the revised version on our website. Any revised Terms will become effective immediately upon posting unless otherwise stated. Your continued access to or use of The Promise Plan after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

2 | Eligibility and Accounts

You must be at least 18 years old, able to form a binding contract, and reside in the United States to use the Service.

We may periodically prompt you to review or confirm your account details to help ensure accuracy. To update or change your stored information, contact us at admin@shygrove.com. You are responsible for ensuring that all information you provide remains accurate and current.

You agree to use the Service only for lawful purposes and to maintain the security of your account credentials.

3 | Subscriptions, Billing, and Cancellations

Plans & Fees

Subscriptions are billed quarterly or annually, as selected at checkout. All fees are billed in advance and are non-refundable except as required by law or expressly stated otherwise.

Early Enrollment Before Activation

From time to time, we may offer the opportunity to reserve or pre-purchase a membership plan before official service launch. By making a reservation payment, you agree to the following terms:

·         Payment & Reservation: Your payment secures your place in line and membership pricing. Your payment is non-refundable except as stated below.

·         Service Start Date: We will provide an estimated service start date at the time of your reservation. If service does not commence by a deadline of seven business days of the estimated start date, you will automatically be issued a full refund to your original payment method within seven business days.

·         Data Collection Before Launch: During early enrollment, we may limit the type of information we collect until service activation to help ensure data security and avoid collecting sensitive details before they are needed.

·         Limited Obligations: Until service activation, The Promise Plan’s sole obligations are: (1) maintaining your reservation and (2) processing refunds as described if we do not launch by the stated deadline. A failure to commence service does not constitute a breach beyond the refund obligation stated above.

·         Cancellation by You: If you choose to cancel your reservation before the service start date, your payment is non-refundable unless we fail to meet the service commencement deadline.

·         Data Deletion After Pre-Launch Refunds: If you receive a refund because we do not commence service by the stated deadline, we will delete all non-transactional information you provided within 30 days of issuing the refund. We may retain limited payment and audit records as required by law.

Payment Processing

Payments are processed through Squarespace Payments under the name The Promise Plan, a registered DBA of Shy Grove Ventures LLC. You authorize The Promise Plan to charge your payment method for recurring fees and agree to the applicable processor’s terms and privacy policy. The Promise Plan does not store complete card details.

Renewal and Cancellation

Your subscription automatically renews at the end of each billing cycle unless canceled. You may cancel at any time by logging into your Member Account on our website.

·         Cancellation stops future renewals but does not generate a refund for the current term.

·         If you pay quarterly, your membership remains active through the end of the current quarter.

·         If you pay annually, your membership remains active through the end of the 12-month term.

·         By default, Squarespace maintains service access until the term expires. If you wish to end your plan’s service access before the end of your current billing period, email accounts@promiseplanpets.com and we can manually cease service access early. Early termination does not entitle you to a refund unless required by law.

Suspension for Non-Payment

If a payment fails and remains unresolved, we may suspend or terminate your access until payment is resolved.

4 | How Plan Activation and Outreach Work

·         Check-ins. We send check-ins on your selected schedule. If you do not respond, we send you two follow-ups.

·         Activation. If there is still no response, your plan activates and we begin manual outreach (via phone call, text message, and/or email) to your designated contacts in your chosen order until someone confirms they can provide care.

·         Following Your Instructions. If no contact confirms care within the timeframe you specify, we will follow the written instructions you have provided in your care plan. Our obligations are limited to performing the specific steps you have documented. We cannot guarantee any third party will respond or take action.

·         Guidance and Information Sharing. When a contact confirms they will step in for your pet, we share your pet’s care details, instructions, and essential information you have provided, and guide them through your specified next steps so care can begin promptly.

·         No Response from Contacts. If your designated contacts do not answer or confirm care, we will follow the escalation instructions you have provided, which may include texting all contacts simultaneously or ceasing outreach. You are responsible for documenting your preferences for this scenario.

·         Home Access & Care Instructions: You may provide home access instructions (such as lockbox codes, door codes, or entry instructions) and pet-care details for us to transmit to your designated contacts. You represent that you are legally permitted to share this information. We are not responsible for any misuse of access instructions or care details by your contacts or third parties, and we do not verify access instructions or take possession of keys or physical access devices.

You are responsible for providing clear, specific, and lawful instructions for all scenarios, including what should happen if no designated contact is available. The Promise Plan may decline or refuse to execute any instruction we determine to be unlawful, impossible, or beyond the scope of our Service. We will not take actions beyond those you have explicitly documented.

5 | Your Responsibilities

You agree to:

·         Maintain accurate and complete information regarding your pet(s), contacts, and instructions. We may occasionally reach out to confirm or prompt updates, but accuracy remains your responsibility.

·         Obtain written consent from each designated contact before listing them. As part of your onboarding process, we will require that your contacts provide written consent by completing our Contact Consent Agreement. You must inform each contact that they may receive communications from The Promise Plan (via text, call, or email) in the event you do not respond to check-ins and your pet requires care. You are solely responsible for any claims arising from contacts who did not consent or were listed without authorization. We may decline to contact any individual who has not completed our Contact Consent Agreement.

·         Provide each contact’s correct and current phone number(s) and email address(es). If during the duration of your membership there are any changes to your contacts’ information, it is your responsibility to update us at accounts@promiseplanpets.com.

·         Use the Service lawfully and not for harassment, misuse, or fraud.

·         Understand that message delivery depends on third-party carriers and networks beyond our control.

The Promise Plan is intended to supplement—never replace—regular communication with the people involved in your pet’s care. You should maintain ongoing contact with your designated caregivers, family members, friends, veterinarians, and any other individuals responsible for your pet’s well-being. Our Service does not replace personal check-ins, in-person arrangements, or your own emergency preparedness.

6 | Communications Consent (texts, calls, emails)

By enrolling, you consent to receive check-ins, follow-ups, and plan-related messages by text, phone, and/or email at the numbers and addresses you provide. You confirm you have authority to provide each contact’s information and to authorize plan-related communications to them. Message and data rates may apply. Operational messages related to your plan are required for service; you may opt out of promotional emails at any time.

7 | No Guarantees; Availability and Reliability

We do not guarantee response times, outcomes, or that any contact, provider, or third party will act, be reachable, or provide care. We do not guarantee that check-ins will be delivered or received, that your plan will activate at a specific time, or that following your instructions will result in care for your pet. The Service may be unavailable during maintenance, outages, or technical difficulties. Plan effectiveness depends entirely on the accuracy of your data, the responsiveness of your contacts, and actions by third parties beyond our control.

The Promise Plan is a communication and coordination tool only. We do not guarantee any outcome, including that your pet will receive care, and we are not responsible for the actions or inactions of your designated contacts or any third parties.

System Availability: We strive to maintain consistent service availability, but the Service may experience interruptions due to maintenance, technical issues, third-party service disruptions, or circumstances beyond our control. We will make commercially reasonable efforts to minimize downtime and restore service promptly.

As we grow, we will implement redundancy and backup systems to improve reliability. We are not liable for any consequences resulting from service interruptions, delayed check-ins, or inability to execute your plan due to system unavailability, regardless of cause.

You should maintain backup arrangements and not rely solely on The Promise Plan as your only contingency for pet care.

8 | Acceptable Use

You may not probe, scan, or disrupt our systems; introduce malware; misuse communications; or access another user’s account. We may suspend accounts for violations.

9 | Privacy and Data Security

Our Privacy Policy (available at [URL]) explains how we collect, use, store, and protect your information, including:

  • What data we collect (account details, pet information, contact information, check-in responses, payment data)

  • How we use it (to operate the Service, process payments, and fulfill your instructions)

  • Who we share it with (your designated contacts when plan activates, payment processors, communication service providers)

  • How we protect it (encryption, access controls, secure servers)

  • Your rights (access, correction, deletion requests)

Your Responsibilities:

  • Keep your login credentials confidential

  • Notify us immediately of any unauthorized access at accounts@promiseplanpets.com

  • Review and update your information regularly to ensure accuracy

Our Security Measures: We implement reasonable administrative, technical, and physical safeguards to protect your data, including:

  • Encrypted data transmission (SSL/TLS)

  • Secure password requirements

  • Limited employee access on a need-to-know basis

  • Regular security assessments

However, no system is 100% secure. We cannot guarantee absolute security and are not liable for unauthorized access resulting from circumstances beyond our reasonable control.

Data Breach Notification: If we become aware of a data breach that compromises your personal information, we will notify you in accordance with applicable law, typically within 30 days of discovery.

Third-Party Services: We use trusted third-party providers (Squarespace, Stripe, Twilio, etc.) to operate the Service. These providers have their own privacy policies and security practices. We are not responsible for their data handling, but we select providers with strong security reputations.

By using the Service, you acknowledge our Privacy Policy and consent to our data practices as described.

10 | Intellectual Property

All content and software belong to The Promise Plan or its licensors. You grant us a limited license to process your submitted information solely to operate and improve the Service.

11 | Third-Party Services

We integrate with third-party platforms (e.g., Squarespace, Stripe, Twilio). Those services are governed by their own terms and privacy policies, and we are not responsible for their acts or omissions.

12 | Disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties to the maximum extent permitted by law. The Promise Plan is not an emergency-response service, medical or veterinary provider, insurer, or legal adviser. Delivery of communications may be affected by networks and third parties beyond our control.

13 | Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages or lost profits. Our total liability for any claim shall not exceed the amount you paid in the three months preceding the event giving rise to the claim.

14 | Indemnification

You agree to defend and indemnify The Promise Plan and Shy Grove Ventures LLC against claims arising from (a) your use of the Service; (b) your content or instructions; (c) our contacting your designated contacts at your direction; or (d) your violation of law or third-party rights.

15 | Changes to Services and Pricing

We may modify features or pricing with advance notice where required. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. This may include adding or removing features, updating functionality, or discontinuing specific aspects of the Service. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Service. If you disagree with changes, you may cancel before they take effect.

16 | Termination

You may cancel your subscription at any time by logging into your Member Account on our website. Cancellation stops renewal but does not entitle you to a refund for any remaining portion of your active term. By default, Squarespace maintains service access until the end of the current billing period. If you prefer to end service access immediately rather than at period-end, email accounts@promiseplanpets.com and we can manually cease access early. Early termination does not entitle you to a refund unless required by law.

If you cancel during a billing cycle (quarterly or annual), your membership remains active through the end of that paid period unless you request early cessation as described above. After cancellation, your account data, including your emergency contacts’ information, is securely stored for 30 days to allow reactivation, then deleted permanently. We may retain limited transaction records as required by law (for example, payment and audit logs).

We reserve the right, in our sole discretion, to refuse, suspend, or terminate access to the Service to any individual or account at any time and for any reason, including but not limited to misuse of the Service, safety concerns, or conduct that we determine may harm our users, partners, or operations. Sections 10 through 18 survive termination.

17 | Dispute Resolution and Arbitration

Disputes will first be addressed informally. If unresolved, they will be submitted to binding arbitration under the American Arbitration Association’s Consumer Rules. You and we waive any right to class actions. Either party may file in small-claims court in Miami-Dade County, FL. You may opt out within 30 days by emailing accounts@promiseplanpets.com with subject “Arbitration Opt-Out.”

18 | Governing Law and Venue

These Terms are governed by the Federal Arbitration Act and, otherwise, Florida law. Venue lies in Miami-Dade County, FL.

19 | Electronic Consent and Notices

By checking “I agree” or continuing use, you provide your electronic signature under the E-SIGN Act. We may send notices by email, SMS, or posting on our site.

20 | Miscellaneous

These Terms and the Privacy Policy are the entire agreement. If any part is unenforceable, the rest remains effective. Failure to enforce is not a waiver. You may not assign your rights without our consent; we may assign in connection with a merger or sale.
